About Oman Gateway Fund

Oman Gateway Fund (under formation) is an open-ended equity investment fund with variable capital, established under Oman’s Securities Law and under the supervision of the Financial Services Authority (FSA). The Fund will invest in companies listed on the Muscat Stock Exchange (MSX) and seeks to deliver long-term capital appreciation by focusing on MSX-listed companies that demonstrate both growth and value characteristics.

The initial offering is for a minimum issue size of OMR 2 million, comprising 2 million Units priced at OMR 1.00 per Unit, with an Initial Subscription Period from 27 January 2026 to 12 February 2026. Following its formation, the Fund will be listed on MSX.

  • Fees and liquidity terms: no subscription fee during the Initial Subscription Period; subscription fee during the Continuous Offer Period stated as up to 2% (plus applicable VAT and other taxes); no redemption fee; the Fund may limit aggregate daily redemptions to 5% of NAV.

Investment Strategy
The Investment Manager employs a hybrid approach blending top-down and bottom-up analysis. The top-down framework assesses macro trends, sector dynamics, and regulatory developments within Oman to guide sector allocation, while bottom-up analysis focuses on identifying fundamentally strong companies with sustainable earnings growth, attractive valuations, and sound corporate governance. Portfolio construction is guided by fundamental research and disciplined risk management.

Fund Net Asset Value (NAV) reporting
NAV calculation is the responsibility of the Administrator and is performed at the close of each Valuation Day. NAV per Unit will be published in line with FSA guidelines. The prospectus timetable also states that the first NAV will be published 30 days after incorporation of the Fund (indicative timetable).

Subscription & redemption

Initial Subscription Period (public offering): 27 January 2026 to 12 February 2026. Initial subscription price is OMR 1.000 per Unit and no subscription fee applies during this period. Minimum initial subscription is 100 Units (and thereafter multiples of 100 Units). If subscriptions received are below OMR 2,000,000, amounts paid during the Initial Subscription Period will be refunded and no Units will be issued.

Continuous Offer Period and dealing cutoffs: the prospectus states daily subscriptions during the Continuous Offer Period beginning 25 March 2026, while the timetable table presents “commencement of subsequent subscription and redemptions” as 5 April 2026; these dates are indicative (not guaranteed). Completed subscription applications and funds must be received by the Registrar and Transfer Agent by 10:00 am on a Business Day (otherwise deemed received next Business Day). The prospectus states NAV timing rules depending on whether the request is received before or after 12:00 pm. Subscription fee during the Continuous Offer Period is stated as up to 2% (plus applicable VAT and other taxes).

Redemption: Units may be redeemed for cash on a daily basis during the Continuous Offer Period. Orders placed before 12:00 pm Oman time use the NAV calculated for the same Business Day; orders after 12:00 pm use the NAV calculated for the next Business Day. Redemption proceeds are stated to be credited within three Business Days after the settlement date. The prospectus states no redemption fee and a minimum redemption amount of OMR 100; it also states the Fund may limit aggregate daily redemptions to 5% of the Fund’s NAV, with excess carried forward pro rata.
